Augos MCP Connector Terms of Service
Important notice
These terms limit Augos's liability (clause 14), exclude Augos's responsibility for AI Clients and the answers they produce (clauses 4 and 5), and require the Customer to indemnify Augos in certain cases (clause 15). Please read those clauses carefully before you connect.
Version 1.0. Effective from the date these terms are first published at augos.co.za/legal/mcp-connector-terms/.
1. About these terms
1.1 These terms govern the use of the Augos MCP Connector. The Connector is provided by Finishing Touch Trading 516 (Pty) Ltd, registration number 2009/014994/07, trading as Augos ("Augos", "we", "us"). Our address is The Crest Office Estate, 154 Goedemoed Road, Durbanville, 7550, South Africa.
1.2 You accept these terms when you connect an AI Client to the Connector, for example by signing in with your Augos login and selecting Allow. If you do not accept them, do not connect.
1.3 You use the Connector on behalf of a Customer. By accepting these terms, you confirm that the Customer has authorised you to use the Connector and to accept these terms for it. These terms then bind both you and the Customer.
1.4 The Connector is a separate service from the services described in the Customer Agreement. These terms add to the Customer Agreement and do not amend it. Where both deal with the same matter, the Customer Agreement prevails, except that clauses 4, 5, 14 and 15 govern any claim arising from the Connector or from Output.
1.5 If the Customer Agreement is with another Augos group company, that agreement continues to govern that company's services. Augos provides the Connector itself.
1.6 These terms are read together with the Augos Platform Privacy Policy at https://augos.co.za/legal/platform-privacy-policy/.
2. Definitions and who may use the Connector
2.1 In these terms:
- "AI Client" means any third-party AI application, assistant or agent that you connect to the Connector.
- "Augos Platform" means the Augos measurement platform at live.augos.io and its API.
- "Connector" means the Augos Model Context Protocol (MCP) server at https://mcp.augos.io/mcp, any other address Augos provides for it, and the tools it offers.
- "Customer" means the organisation that holds a Customer Agreement and on whose behalf you use the Connector.
- "Customer Agreement" means the agreement under which the Customer uses the Augos Platform, including any Service-Level Agreement and Master Data Security and Storage Agreement.
- "Customer Data" means the measurement, production, sensor, tariff, cost, billing and other data held in the Augos Platform for the Customer, including any personal information in it.
- "Knowledge Base" means the Augos documentation made available through the Connector.
- "Output" means any answer, figure, chart, summary or other content that an AI Client produces using information from the Connector.
- "User" or "you" means the individual who connects an AI Client to the Connector.
2.2 The Connector is offered to businesses for business purposes only. It is not offered to consumers for personal or household use.
2.3 To use the Connector, you must:
- be at least 18 years old;
- hold an active Augos Platform account issued for the Customer; and
- have the Customer's permission to use AI Clients, which the Customer's Augos administrator can grant or withdraw at any time.
2.4 While access to the Connector is limited, Augos may make it available to selected Customers only.
3. How the Connector works
3.1 The Connector lets an AI Client request Customer Data and Knowledge Base content from the Augos Platform on your behalf, and uses it to answer your questions. The Connector has no AI model of its own.
3.2 You connect by signing in with your Augos login and approving access. The AI Client then receives permission to read what you can already see in the Augos Platform.
3.3 The Connector never gives you more access than your Augos account has. Your Augos role and site permissions decide which tools you can use, and the Augos Platform checks every site, meter and report requested against your own access. Tools your role may not use are hidden, and calls to them are refused.
3.4 The Connector's tools read information, with one exception: a tool that lets the AI Client raise a support request with Augos in your name. Augos treats a support request raised through the Connector as made by you, and marks it as raised through an AI assistant. The AI Client is asked to confirm with you before it raises a request, but Augos cannot ensure that it does. You are responsible for every request raised through your connection.
3.5 Augos gives AI Clients instructions on how to use the tools, for example to confirm a site before requesting its data. An AI Client may not follow those instructions.
3.6 Each tool has technical limits, such as the number of meters per request and a time limit on each request. Augos may set or change limits, including usage limits, to protect the Augos Platform (clause 11).
3.7 You can disconnect at any time, in the AI Client or in the Augos Platform. If you disconnect, or the Customer withdraws your permission to use AI Clients, the Connector refuses the AI Client's next request.
4. Your AI Client
4.1 You or the Customer choose the AI Client. It is provided by a third party under that third party's own terms and privacy policy, which you or the Customer accept separately. Augos is not a party to them.
4.2 When the Connector delivers information to your AI Client, that information leaves the Augos Platform. From then on, the AI Client's provider processes it under its own terms. Augos does not control, and is not responsible for, how the AI Client stores, uses, shares, secures or retains it.
4.3 Choose an AI Client and a plan whose terms suit business data. Check, for example, whether the provider uses your conversations to train its models, how long it keeps them and where it processes them.
4.4 Augos does not control which tools an AI Client calls, how it reads the results or what it writes. Augos is not responsible for an AI Client's availability, errors, security or conduct.
4.5 Augos is not affiliated with, endorsed by or in partnership with any AI Client provider. A listing of the Connector in an AI Client's directory does not mean that the provider endorses Augos, or that Augos endorses the AI Client.
4.6 Any fee an AI Client provider charges is a matter between you or the Customer and that provider.
5. AI output and figures
5.1 Output is written by your AI Client, not by Augos. An AI Client can choose the wrong tool, site, meter, period or unit, misread a result, leave things out, or state something that is not in the data. Check Output before you rely on it.
5.2 Augos's responsibility is limited to returning the information held in the Augos Platform that you are entitled to see. Augos is not responsible for how an AI Client interprets or presents it.
5.3 Metered figures are not billed figures. Consumption and demand measured by a meter can differ from what a utility or landlord bills, for example because billed demand is set by the tariff rather than by the metered peak. Output is not a bill, invoice, statement of account or tax document.
5.4 Cost calculations, bill verification results, tariff comparisons and savings estimates, including power factor correction savings, are indicative. They depend on the tariff data, meter data, period and assumptions used. Before you dispute a bill, change a tariff, invest in equipment or make any other financial, contractual or operational decision, confirm the figures in the relevant Augos Platform report or with Augos.
5.5 Output is not engineering, legal, tax, financial or other professional advice.
5.6 The Customer must not use Output about named people, such as operator performance figures, as the only basis for a decision that affects them, for example a disciplinary step. A person must first review the underlying records. The Connector does not make decisions about individuals.
5.7 Knowledge Base content is general information about Augos products and methods, and may change without notice. The Customer Agreement and any written Augos quotation prevail over it. Prices that appear in Knowledge Base content are indicative, exclude VAT and bind Augos only once confirmed in a written quotation.
6. Your data and privacy
6.1 The Customer owns the Customer Data, as set out in the Customer Agreement.
6.2 By connecting an AI Client, you instruct Augos, on the Customer's behalf, to disclose to that AI Client the Customer Data and Knowledge Base content it requests within your access. For the purposes of the Customer Agreement, this instruction is the Customer's written consent to that disclosure.
6.3 Under the Protection of Personal Information Act 4 of 2013 (POPIA), the Customer is the responsible party for personal information in the Customer Data, such as the names of machine operators, and Augos acts as its operator. Augos is the responsible party for User accounts and for the audit records in clause 6.5. The Platform Privacy Policy explains how Augos handles personal information.
6.4 The Customer is responsible for:
- having a lawful basis to share Customer Data with the AI Client it chooses;
- informing the people concerned where the law requires it; and
- any transfer of personal information outside South Africa that the AI Client makes.
6.5 The Connector does not keep a copy of the Customer Data it returns to your AI Client. Augos keeps an audit record of each tool call, made up of:
- your Augos user identifier;
- the tool called, when it ran, how long it took and whether it succeeded, with any error message;
- the AI Client's session identifier; and
- a one-way coded form of the credential used, never the credential itself.
6.6 The Connector does not ask your AI Client to describe what you asked, and does not store the text of your conversations with it.
6.7 Augos keeps audit records for the term of the Customer Agreement, archives them for at least 5 years after it ends and then deletes them. The Platform Privacy Policy and the Augos Data Deletion Policy set out when they may be deleted earlier. Working copies used to check your access are kept for no more than one hour. Server logs are overwritten on a rolling basis.
6.8 Support requests raised through the Connector are kept and handled like any other Augos support request. Do not include special personal information, such as health details, in a support request. If a request includes another person's details, for example a new user to add, the Customer confirms that it may share them with Augos.
6.9 Augos may use anonymised, aggregated information about how the Connector is used, such as which tools are called and how often, to operate and improve it. This information does not identify the Customer or any person.
6.10 To exercise your rights over your personal information, including access and correction, contact the Augos Information Officer at support@augos.io, as set out in the Platform Privacy Policy.
7. Security
7.1 Augos protects the Connector with encrypted connections, short-lived access tokens and an access check on every request, together with the security measures in the Customer Agreement. Your AI Client's access token never reaches the Augos Platform API.
7.2 You must keep your Augos login secret, must not share it, and must not let anyone else use your connection. Disconnect AI Clients you no longer use.
7.3 Tell Augos immediately at support@augos.io if you suspect that your login or connection has been misused.
7.4 Anyone who finds a security vulnerability in the Connector can report it to support@augos.io. Augos investigates every report with reasonable care. Do not test a suspected vulnerability against data that is not yours.
8. Acceptable use
8.1 Use the Connector only for the Customer's internal business purposes, in connection with the Customer's own sites.
8.2 You must not, and must not allow an AI Client or anyone else to:
- access, or try to access, data, tools or sites beyond your Augos access, including another customer's data;
- get around, test or probe role checks, site permissions, usage limits or other security controls;
- use another person's login or connection;
- extract data in bulk, or call tools at a rate or volume that degrades the Connector or the Augos Platform;
- copy, compile or republish tariff information or Knowledge Base content to build or support a competing database, product or service;
- sell, sublicense or otherwise give a third party access to the Connector;
- reverse engineer, decompile or copy the Connector, except where the law allows it despite this restriction;
- place instructions aimed at AI Clients in the Augos Platform, for example in point names, notes or support requests, to manipulate how an AI Client behaves;
- introduce malicious code or interfere with the Connector's operation;
- present Output as a report, bill verification or other document issued by Augos; or
- use the Connector unlawfully or in breach of anyone's rights.
8.3 Augos may use the audit records in clause 6.5 to enforce these terms and protect the Augos Platform.
9. Intellectual property
9.1 Augos and its group companies own the Connector, the Augos Platform, the Knowledge Base, Augos's compilation of utility tariffs and its methods of calculation, and all intellectual property in them. These terms do not transfer any of it to you or the Customer.
9.2 While the Customer Agreement is in force and these terms are followed, Augos grants the Customer and its authorised Users a limited, non-exclusive, non-transferable and revocable right to use the Connector, and the Knowledge Base content it returns, for the Customer's internal business purposes.
9.3 Tariff information returned through the Connector may be used only for the Customer's own sites and internal purposes.
9.4 As between Augos and the Customer, Augos claims no ownership of Output. Augos content within Output, such as Knowledge Base extracts or tariff information, remains Augos's and is subject to clause 9.2.
9.5 If you or the Customer give Augos suggestions or feedback about the Connector, Augos may use them freely, without any obligation to you or the Customer.
9.6 You may not use the Augos name or trademarks, except to refer accurately to the Connector.
10. Fees
10.1 While access to the Connector is limited, Augos provides it to eligible Customers at no charge beyond the fees in the Customer Agreement, unless agreed otherwise in writing.
10.2 Augos may introduce or change a fee for the Connector by giving the Customer at least 60 days' written notice. If the Customer does not accept the fee, it may stop using the Connector before the fee applies. All Augos fees exclude VAT.
11. Availability, changes and suspension
11.1 Augos provides the Connector on an "as available" basis. It has no uptime commitment, and it is not covered by any service level, service credit or support response time in the Customer Agreement.
11.2 The Connector may be unavailable, for example during maintenance, when a part of the Augos Platform it relies on is unavailable, or during an AI Client's own outage.
11.3 Augos may add, change or remove tools, change how the Connector works, or set usage limits. Where a change materially reduces what the Connector does, Augos will give reasonable notice where it can.
11.4 Augos may suspend or restrict your or the Customer's access to the Connector immediately, without prior notice, if:
- it reasonably believes there is a security risk, or a risk to the Augos Platform or to other customers;
- you or the Customer breach these terms;
- the Customer is in breach of the Customer Agreement; or
- the law, a regulator or an AI Client provider requires it.
11.5 Augos will restore suspended access once the reason for the suspension no longer applies, unless access has ended under clause 12.
11.6 Augos may discontinue the Connector on 30 days' notice to the Customer, or sooner if the law or a security risk requires it.
12. Termination
12.1 Your access to the Connector ends automatically when:
- the Customer Agreement ends;
- your Augos account is closed or removed;
- the Customer withdraws your permission to use AI Clients; or
- Augos discontinues the Connector.
12.2 Augos may end your or the Customer's access to the Connector by written notice if you or the Customer breach these terms and do not remedy the breach within 5 days of being notified. Augos may end access immediately for a breach that cannot be remedied, or for a serious breach of clause 8.
12.3 Ending access to the Connector does not end the Customer Agreement. Customer Data remains governed by the Customer Agreement, and audit records by clause 6.7.
12.4 Clauses 5, 6, 9, 13, 14, 15, 18 and 19 survive the end of your access.
13. Warranties
13.1 Augos will provide the Connector with reasonable care and skill, and will take reasonable steps to ensure that it returns the information held in the Augos Platform for your access.
13.2 Apart from clause 13.1, and to the extent the law allows, the Connector, the Knowledge Base content and anything returned through them are provided "as is". Augos gives no other warranty, express or implied, including that the Connector will be uninterrupted or error-free, that it will work with every AI Client, or that Output will be accurate, complete or fit for any purpose.
14. Limitation of liability
14.1 To the extent the law allows, Augos is not liable for:
- any act, omission, Output, outage or security incident of an AI Client or its provider;
- any decision made, or action taken, on the strength of Output;
- any support request raised through your connection;
- any information once it has been delivered to your AI Client; or
- loss of profit, revenue, anticipated savings, business or goodwill, or any indirect, consequential or special loss, however it arises.
14.2 To the extent the law allows, Augos's total liability for all claims arising from the Connector or these terms, in any 12-month period, is limited to the Monthly Service Fees the Customer paid under the Customer Agreement for a single site in the 3 months before the event giving rise to the claim. That site is the one the claim relates to or, where a claim relates to more than one site, the one of them with the highest Monthly Service Fees. Amounts exclude VAT.
14.3 Nothing in these terms limits liability for fraud, gross negligence or wilful misconduct, or any liability that the law does not allow to be limited, including under the Consumer Protection Act 68 of 2008 where that Act applies.
15. Indemnity
15.1 The Customer indemnifies Augos and its group companies against any claim by a third party, including a data subject, a regulator or an AI Client provider, and against the resulting losses, damages and legal costs on the scale as between attorney and own client, to the extent that the claim arises from:
- a breach of these terms by the Customer or any of its Users;
- a disclosure of Customer Data to an AI Client, instructed under clause 6.2, for which the Customer had no lawful basis; or
- information that the Customer or its Users included in a support request or stored in the Augos Platform.
15.2 Augos will promptly tell the Customer of any claim covered by clause 15.1, and will give reasonable help in defending it, at the Customer's cost.
16. Changes to these terms
16.1 Augos may update these terms. It will publish each updated version at augos.co.za/legal/mcp-connector-terms/ with a new version number and effective date.
16.2 For a material change, Augos will notify the Customer at least 30 days before the change takes effect, by email to the Customer's Augos administrator, in the Augos Platform, or when you next connect.
16.3 If you keep using the Connector after a change takes effect, you accept it. If you or the Customer do not accept a change, stop using the Connector and disconnect your AI Client.
17. Notices and contact
17.1 Contact Augos at support@augos.io for support, privacy requests and security reports, and for any notice under these terms.
17.2 Augos may give notices to the Customer by email to its Augos administrator or to the address in the Customer Agreement, and to you by email to the address on your Augos account. An email notice is received when the recipient can retrieve it.
17.3 Augos chooses The Crest Office Estate, 154 Goedemoed Road, Durbanville, 7550 as its address for service of legal documents (domicilium citandi et executandi). The Customer's address for service is the one in the Customer Agreement.
18. Governing law and disputes
18.1 The law of the Republic of South Africa governs these terms.
18.2 If a dispute arises, senior representatives of Augos and the Customer will first try to resolve it in good faith within 20 business days of either of them giving written notice of the dispute.
18.3 If the dispute is not resolved in that time, either may refer it to the High Court of South Africa, Western Cape Division, Cape Town. Augos may instead bring proceedings in any Magistrates' Court with jurisdiction, and the Customer consents to that jurisdiction under section 45 of the Magistrates' Courts Act 32 of 1944.
18.4 Nothing in this clause prevents either party from seeking urgent relief from a court.
19. General
19.1 These terms, the Customer Agreement and the Platform Privacy Policy are the whole agreement about the Connector.
19.2 If any provision of these terms is invalid or unenforceable, it is severed, and the rest of these terms remain in force.
19.3 A delay or failure to enforce a right is not a waiver of it.
19.4 Augos may cede or assign its rights, and delegate its obligations, under these terms to another Augos group company. Neither you nor the Customer may do so without Augos's written consent.
19.5 Neither party is liable for a failure caused by events beyond its reasonable control, such as interruptions to electricity supply or telecommunications networks, or outages of an AI Client or another third-party provider.
19.6 Nothing in these terms creates a partnership, agency or employment relationship.
19.7 Headings are for convenience only. "Including" means "including without limitation".
